TERMS OF USE
INTRODUCTION
The Terms are the general terms of the relationship between CMH and Visitor. The Terms cover the use of this web site, including any other marketing material of CMH. By visiting and using this web site, each Visitor accepts and agrees to The Terms.
DEFINITIONS AND INTERPRETATION
Definitions. For purposes of the Terms:
“Terms” means these terms, consisting of:
1. these terms of use; and
2. any other relevant specific terms, policies, disclaimers, rules and notices agreed between the parties, (including any that may be applicable to a specific section or module of this web site);
“CMH” means Combined Motor Holdings Limited, registration number 1965/000270/06;
“Visitor” or “you” means any person who visits this web site.
Interpretation. A word defined or assigned a meaning in the Terms will start with a capital letter. All headings are inserted for reference purposes only and must not affect the interpretation of the Terms. Whenever “including” or “include”, or “excluding” or “exclude”, together with specific examples or items follow a term, they will not limit its ambit. Terms other than those defined within the Terms will be given their plain English meaning. A reference to a person includes a natural and juristic person and a reference to either party includes the party’s successors or permitted assigns. The rule of construction that an agreement must be interpreted against the party responsible for its drafting or preparation does not apply.
Conflict. If there is a conflict of meaning between these terms of use and any other relevant specific terms, policies, disclaimers, rules and notices agreed between the parties, the specific terms will prevail in respect of your use of the relevant section or module of the web site.
USE OF THIS WEB SITE
License to use this web site. CMH grants each Visitor a limited, revocable license to use this web site subject to the Terms. Any person wishing to use this web site contrary to the Terms must obtain CMH’s prior written consent.
Framing. No person, business, or web site may frame this web site or any of the pages on this web site.
Linking. Visitor may link to the web site only by linking to the home page www.cmh.co.za of this web site. CMH prohibits Visitor from “deep linking” to any other pages in a manner that would incorrectly suggest endorsement or support of Visitor by CMH or suggests Visitor is the owner of any intellectual property belonging to CMH.
Spiders and Crawlers. No person, business, or web site may use any technology (including spiders or crawlers) to search and gain any information from this web site.
MODIFY
CMH may modify, suspend, or discontinue providing this web site (with or without notice).
CAPACITY OF CUSTOMER
Each Visitor represents and warrants that Visitor:
1. is old enough under applicable law to enter into the Terms;
2. possesses the legal right, full power, and authority to enter into the Terms;
3. will submit true, accurate and correct information to CMH and this web site.
If Visitor is younger than 18 years of age, Visitor warrants that Visitor has the consent of its legal guardian to enter into the Terms or that Visitor has obtained legal status in another manner.
INTELLECTUAL PROPERTY
Ownership. Except as provided to the contrary in the Terms, all right, title, interest, and ownership (including all rights under all copyright, patent, and other intellectual property laws) in, to or of this web site are the sole property of or will vest in CMH or a third party licensor. All moral rights are reserved.
Trademarks. CMH’s logo and sub-logos, marks, and trade names are the trademarks of CMH and no person may use them without permission. Any other trademark or trade name that may appear on this web site or other marketing material of CMH is the property of its respective owner.
Restrictions. Except as expressly permitted under the Terms, this web site may not be:
1. modified, distributed, or used to make derivative works;
2. rented, leased, loaned, sold or assigned;
3. decompiled, reverse engineered, or copied; or
4. reproduced, transferred, or distributed.
Prosecution. All violations of proprietary rights or the Terms will be prosecuted to the fullest extent permissible under applicable law.
DISCLAIMER OF WARRANTIES
Use of this web site is at the sole responsibility and risk of each Visitor. This web site is provided on an “as is” and ” as available” basis. Except for the warranties given in the Terms, CMH expressly disclaims all representations, warranties, or conditions of any kind, whether express or implied, including any implied warranties or conditions of satisfactory quality, no latent defects, fitness for a particular purpose, accuracy, quiet enjoyment, title, and non-infringement. CMH does not warrant that this web site will meet the requirements of any Visitor or be uninterrupted, be legally effective or complete, timely, secure, error-free or free from infection by malicious software.
INDEMNITY
Each Visitor agrees to indemnify, defend, and hold harmless CMH (and those related to it and its officers, agents, co-branders or other partners, and employees) from and against any claim, demand, loss, damage, cost, or liability (including reasonable attorneys’ fees) arising out of or relating to its use of this web site.
LIMITATION OF LIABILITY
Correct faults. CMH will correct any fault in this web site where possible and as soon as reasonably practical and this is its entire liability regarding any fault in the web site. If this clause is held inapplicable or unenforceable, then the following clause will apply.
Direct damages limited. To the extent permitted by applicable law, regardless of the form (whether in contract, tort, or any other legal theory) in which any legal action may be brought, CMH’s maximum liability to a Visitor for direct damages for anything giving rise to any legal action will be an amount equal to R100. The aggregate amounts for all claims will not be greater than the maximum amount.
Indirect damages excluded. To the extent permitted by applicable law, in no event will CMH (or its personnel) be liable for any indirect, incidental, special or consequential damages or losses (whether foreseeable or unforeseeable) of any kind (including loss of profits, loss of goodwill, damages relating to lost or damaged data, or loss of use) arising from the Terms.
Other web site. CMH is not liable for any other web site provided by any third party.
TERMINATION
Discontinue this web site. The Terms will automatically terminate if CMH discontinues this web site.
Breach. If a Visitor:
1. commits a breach of the Terms; or
2. repeatedly infringes the copyrights or other rights of others;
Visitor agrees that CMH may, to the extent permitted by applicable law and without prejudice to its rights in the Terms or in law, terminate access to or use of the web site, claim specific performance of the Terms, and claim damages from Visitor.
GENERAL
Entire Agreement. The Terms constitutes the entire agreement between the parties in respect of the subject matter of the Terms.
Changes. The Terms may be changed at any time by CMH and where this affects the rights and obligations of a Visitor, CMH will notify the Visitor of any changes by placing a notice on this web site. If a Visitor does not agree with the change the Visitor should stop using this web site. If a Visitor continues to use this web site following notification of a change to the Terms, the changed terms will apply to the Visitor.
Fact related to web site. A certificate, signed by an administrator of this web site, of any fact related to this web site (including the version of the Terms that governs a particular dispute and what content was published or functionality was available on the web site at a specific point in time) will be conclusive irrefutable proof of the correctness of the certificate’s contents.
Waiver. No granting of time or forbearance will be, or be deemed to be, a waiver of the Terms and no waiver of any breach will operate as a waiver of any continuing or subsequent breach.
Severability. If any term is void, unenforceable, or illegal, the term will be severed and the remainder of the Terms will have full force and effect, provided the severance does not alter the nature of the Terms.
Governing Law and jurisdiction. The Terms are governed by and must be interpreted under the laws of the Republic of South Africa and Visitor agrees to submit to the exclusive jurisdiction of the South African courts.
PRIVACY POLICY
INTRODUCTION
CMH respects the privacy of each User. CMH has established this Privacy Policy to explain how Data is collected by CMH, and how this Data is used and disclosed. CMH takes the protection of Personal Information very seriously. CMH may process (for example, collect, use or disclose) Personal Information only as described in this Privacy Policy.
DEFINITIONS AND INTERPRETATION
Words defined or assigned a meaning in the Agreement will have that meaning in this Privacy Policy, unless the context clearly indicates otherwise. For purposes of this Privacy Policy: “Data” means any data (including Personal Information) provided to CMH by a User; and ” Personal Information” means any Data or information about an identifiable User, including an email address.
COLLECTION ONLINE
Collection on registration. Once a User registers or places and order with CMH, a User is not anonymous to CMH. When registering, each User provides Data, which includes an ID, a password, and an email address. To combat online fraud, CMH may also record the IP address of a User when adding Data. In addition, a User may provide necessary Personal Information to process a credit card payment, including a billing address.
Decline to share. A User can decline to share Personal Information with CMH by not registering with CMH.
Children. CMH does not intentionally gather Personal Information about visitors who are under the age of 13.
Collection from browser. CMH automatically receives and records information on CMH’s server logs from the browser of a User, including an IP address, CMH cookie information, and the page requested. Each User should be aware that other web sites visited before entering the web site might place Personal Information within a URL of a User during a visit to it, and CMH has no control over such web sites. Accordingly, a subsequent web site that collects URL information may log some Personal Information.
USE
Messages and updates. CMH may send to a User administrative messages and email updates regarding its account, the web site, or its Goods or Services. In some cases, CMH may also send a User primarily promotional messages. A User can choose to opt-out of promotional messages.
Cookies. Personal Information may be used to improve the web site. CMH may use cookies to save the IDs and session validators of a User on its browsers and hard drives, and may use cookies to provide a tailored web site. IP addresses also help CMH to diagnose problems with and to administer the web site.
Targeted content. While a User is logged into the web site, CMH may display targeted adverts and other relevant information based on the Data. In a completely automated process, computers process the Data and match it to adverts or related information. Natural persons do not read Data to target adverts or other information without consent. CMH never shares Personal Information with any advertiser, unless a User specifically asks CMH to do so. Advertisers receive a record of the total number of impressions and clicks for each advert. They do not receive any Personal Information. If a User clicks on an advert, CMH may send a referring URL to the advertiser’s site identifying that a User is visiting from the web site. CMH does not send Personal Information to advertisers with the referring URL. Once a User is on the advertiser’s site however, the advertiser may collect Personal Information.
DISCLOSURE
No selling. CMH will not sell, share, or distribute Personal Information. No Personal Information may be disclosed to anyone except as provided in this Privacy Policy.
Marketing purposes. CMH may disclose aggregate statistics (information about the User population in general terms) about the Data to advertisers or business partners for marketing purposes.
Third party supplier or agents. CMH may need to provide Data to a third party supplier to supply or provide specific Goods or Services to a User (such as hosting services, support services, shipping services, or payment processing). Each third party supplier is required to only disclose or use the Data to supply or provide the specific Goods or Services requested.
Law enforcement. CMH may disclose Data if required: by a subpoena or other judicial or administrative order by law; to protect the safety of any individual or the general public; to prevent violation of the Agreement, or the rights of CMH or any third party. An IP address may be disclosed to a third party: if the law or a legal process requires it; to protect the rights or property of CMH, a User, or the general public.
Affiliates. CMH may share Data with an Affiliate, in which case CMH will seek to require the Affiliates to honour this Privacy Policy.
Change of ownership. If CMH undergoes a change in ownership, or a merger with, acquisition by, or sale of assets to, another entity, CMH may assign its rights to the Data it processes to a successor, purchaser, or separate entity. CMH will notify each User of the transfer and the User may choose to modify its Personal Data at that time. If a User is concerned about its Data migrating to a new owner, the User may deactivate or delete its account.
Employees. CMH may need to disclose Data to its employees that require the Data to do their jobs.
Abuse. CMH may disclose Data to designated third parties to resolve or investigate abuse complaints. CMH may release Data to assist in attempting to block an abusive User or complain to its Internet Service Provider of an abusive User.
SECURITY OF DATA
CMH uses some of the most advanced security measures to protect the Data under its control. All Data is safe, secure, and available only to the User and those to whom User has granted permissions. In addition, the web site is hosted in a secure server environment that uses a firewall and other advanced security measures to prevent interference or access from outside intruders.
USERNAME AND PASSWORD
During the registration process, CMH will provide User with a username and password. It is the responsibility of each User to maintain the confidentiality and security of their password.
UPDATING OR REMOVING
A User may choose to correct or update the Data they have submitted to CMH, by going to their account. To remove any Data from the active database of CMH, a User may deactivate or delete their account. Even if a User updates or removes their Data from CMH’s live database, Data may be retained in CMH’s backup files and archives.
UNAUTHORISED USE
Any unauthorised use of CMH information systems is a violation of the Agreement and certain laws, including the section 86 of the ECT Act. Such violations may subject the person to civil and criminal penalties.
INTERCEPT AND MONITOR
CMH may intercept, monitor, block, filter, read, delete, and disclose any communication over its information system.
LIMITATION
CMH is not responsible for, gives no warranties, nor makes any representations in respect of the privacy policies or practices of linked or any third party web sites.
INTERNATIONAL USERS
CMH may transmit or transfer Personal Information outside the resident jurisdiction of the User and therefore across borders. Personal Information may be stored on servers located in the United States where laws protecting Personal Information may not be as stringent as the laws in the jurisdiction of the User. Personal Information may be processed by CMH in the country where it was collected as well as other countries (including the United States) where laws regarding processing of Personal Information may be less stringent.
